Terms of Service
Welcome to IQsonics.com, aka SingandSpeak4Kids.com, (the “Site”) which is owned and operated by IQsonics LLC (“IQsonics”). IQsonics makes available for your use on the Site certain content (the “Content”) and services (the “Services”). Your access to and use of the Site and the Services are subject to these Terms of Service (“Terms of Service”) and all applicable laws. Your use of the Site constitutes your agreement to all of the terms contained herein. The Service hosted at game.singandspeak4kids.com (the “SS4Kids Program”) is included under the term Site. Where something is specific to the SS4Kids Program, it is so stated.
We reserve the right to change the Terms of Service at any time without prior notice and by using the Site subsequent to any revision of the Terms of Service, you agree to be bound by such changes. Your agreement applies to these Terms of Service and any new versions, updates, supplements.
By using the SS4Kids Program, you accept these terms. If you do not accept them, you may not use the SS4Kids Program. As described below, using the SS4Kids Program also operates as your consent to the transmission of certain standard computer information for Internet-based service.
The SS4Kids Program includes a variety of other agreements that become part of this agreement upon acknowledgment. These agreements include but not limited to the Authorization to Disclose Agreement.
You indicate your agreement to these Terms of Service and the additional agreements during the registration process for SS4Kids Program by checking the appropriate checkboxes or in the SS4Kids Program under the account management page.
Note to all users of the SS4Kids Program: YOU MUST BE AT LEAST 18 YEARS OLD TO REGISTER FOR SERVICES ON THIS SITE OR TO PROVIDE ANY INFORMATION ABOUT YOURSELF THROUGH THIS SITE. REGISTRATION FOR SERVICES BY ANY PERSON UNDER THE AGE OF 18 IS STRICTLY PROHIBITED. TO PROVIDE ANY INFORMATION ABOUT A PERSON UNDER THE AGE OF 18 THROUGH THIS SITE, YOU MUST BE THAT PERSON’S PARENT OR LEGAL GUARDIAN, OR BE A PROFESSIONAL AUTHORIZED WITH WRITTEN CONSENT FROM THAT PERSON’S PARENT OR LEGAL GUARDIAN.
The information provided on this Site is for educational and entertainment purposes only and should not be interpreted as a recommendation for a specific treatment plan, service or course of action. IQsonics does not, through the Site, provide specific medical advice, is not engaged in providing medical or professional services and does not endorse any medical or professional service obtained through information provided on this Site or any links to this Site. Use of the Site does not replace medical consultations with a qualified health or medical professional to meet the health and medical needs of you or a loved one. You exercise your own judgment when purchasing any product or service through the Site. In addition, while we frequently update the Site’s contents, medical information changes rapidly and therefore, some information may be out of date, and/or contain inaccuracies or typographical errors.
The SS4Kids Program contains features that connect to the Site. In most cases, you will not receive a separate notice when they connect. By using the SS4Kids Program, you consent to the transmission of this information. (i) The SS4Kids Program uses Internet protocols that send your login and password to verify your identity, and other data you enter during your use of the SS4Kids Program back to the Site. These protocols are to ensure that you are a properly licensed user of the SS4Kids Program. (ii) The SS4Kids Program also tracks the type of operating system and type of browser you are using. This feature is to ensure that the SS4Kids Program will work properly on all devices possible and to maximize your experience with the SS4Kids Program. (iii) The SS4Kids Program also contains features that communicate certain information about the activity in the SS4Kids Program. This enables us to record and process that information to provide the user with aggregated information about the progress of the child. We may sometimes use this information, in an aggregated non-personal form, to assist us in updating and modifying, or to provide reports or information about, our products and services.
Registration data and certain other information about you is subject to our Privacy Statement. You understand that through your use of the Services you consent to the collection and use of this information as set forth in the IQsonics Privacy Statement.
You are responsible for your conduct, content and communications with others while using this Site and Services.
While on this Site, you must comply with the following requirements when using this Site and Services:
a) You may not purchase, use or access the Services for the purpose of building a competitive product or service or for any other competitive purposes.
b) You may not misuse our Services by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions that we provide.
c) You may not circumvent or attempt to circumvent any limitations that Sing and Speak 4 Kids imposes on your account (such as opening up a new account to use our Service that we have closed for a Terms or other Agreement violation).
d) Unless authorized by Sing and Speak 4 Kids in writing, you may not probe, scan, or test the vulnerability of any Sing and Speak 4 Kids system or network.
e) Unless authorized by Sing and Speak 4 Kids in writing, you may not use any manual or automated system or software to extract or scrape data from the websites or other interfaces through which we make our Services available.
f) You must comply with applicable laws while using this Site and Services, including all data privacy and security laws that may be applicable to information that you provide or that may be provided to iQsonics pursuant to your authorization.
g) You may not transmit or otherwise provide information to iQsonics that you do not have a right to transmit under applicable law or under contractual or fiduciary relationships (such as nondisclosure agreements).
IQsonics may immediately terminate your access to the Site or any portion of the Site for violation of any of the foregoing rules of user conduct without notification. IQsonics may cooperate with legal authorities and/or other third parties in the investigation of any suspected or alleged crime or civil wrong.
The Site, Content and Services are provided “As Is”. Your use thereof is at your own risk. While IQsonics uses reasonable efforts to ensure the accuracy, correctness and reliability of this Site’s content, we make no representations or warranties as to the accuracy, reliability, completeness, or timeliness of any information or material on the site. IQsonics, as well as any other party involved in creating, producing, or delivering the Site including, without limitation, the Content and any Services, specifically disclaim any liability or responsibility for any errors or omissions in the Site. The internet services require for the use of Sing and Speak 4 Kids and the necessary equipment are the sole responsibility of the User with regard to the costs incurred, the availability and the security of the data connection.
IQSONICS DOES NOT WARRANT THAT THE SITE WILL OPERATE ERROR- FREE OR THAT THIS SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES AND/OR OTHER HARMFUL MATERIALS. IF YOUR USE OF THE SITE, THE CONTENT OR THE SERVICES RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, IQSONICS IS NOT RESPONSIBLE FOR THOSE COSTS. IQSONICS, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT OF THIRD PARTIES RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. IQSONICS MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT, SERVICES, SOFTWARE TEXT, GRAPHICS, AND/OR LINKS APPEARING ON THE SITE.
IQsonics has no obligation to monitor any member’s use of the Site or retain the content of any user session. However, IQsonics reserves the right at all times and without notice to delete any content and to monitor, review, retain and/or disclose any content or other information in IQsonics’ possession, however obtained, about or related to you, your use of the Site or otherwise as necessary or useful to satisfy any applicable law, regulation, legal process, or governmental request. IQsonics is not responsible for any failure or delay in removing content.
The Content may not be used except as provided in these Terms of Service or without the written permission of IQsonics. IQsonics authorizes you to copy materials on this site to a hard drive solely for the purpose of viewing and using the Site on your computer. You may also print portions of the Site in hard copy for the sole purpose of facilitating your personal, noncommercial use and retention of information from the Site. You may not sell or modify the Content or reproduce, republish, display, publicly perform, distribute, or otherwise use the Content or the Site in any way for any public or commercial purpose. Unauthorized use of the Content or the Site on any other Site or in a networked computer environment for any purpose is prohibited.
All of the trademarks, logos, and service marks appearing on the Site (the “Trademarks”) are the registered and unregistered trademarks of IQsonics and other third parties, protected under the laws of the United States and other countries. Without the prior written permission of the trademark owner, you may not use or display the Trademarks in any manner. Use on this Site of the trademark(s) of any other party is not intended to imply IQsonics’ affiliation with or endorsement of that party, or that party’s sponsorship or endorsement of IQsonics, its products or services.
The Site may contain links to sites not operated or maintained by IQsonics. These links are provided solely as a convenience to you and not as an endorsement by IQsonics of the content of such third party sites. IQsonics is not responsible for the content of the sites of others and makes no representation regarding the content or accuracy of materials on such sites. If you decide to access linked third-party sites, you do so at your own risk, and waive any and all claims against IQsonics regarding the inclusion of links to outside sites or your use of those sites. The third party sites may contain user agreements or terms and conditions and privacy policies to which you are subject while using those sites. We encourage you to become familiar with these policies when you access those sites. IQsonics reserves the right to terminate any link or linking program at any time.
IQsonics does not accept or consider unsolicited ideas, including ideas for new products, services, technologies, processes, marketing plans or new product names. Please do not send any original artwork, samples, demos or other works. If you do send such materials, IQsonics makes no assurances that your ideas and materials will be treated as confidential or proprietary. Any feedback you provide on this Site will be deemed non-confidential. IQsonics is free to use such information on an unrestricted basis.
From time to time, you may agree to give feedback about the Site or Service to IQsonics including, but not limited to, providing information regarding usability and bug reports. All feedback made by you shall be the property of IQsonics and shall be IQsonics Confidential Information that is subject to the obligations set forth in Section 16 below. IQsonics may use, share and commercialize the feedback in any way and for any purpose without your permission or compensation to you.
IQsonics makes no representation of any kind that all content, materials and services on the Site are appropriate or available for use in all geographic locations, especially some locations outside the United States, and accessing such from certain locations may be illegal and prohibited. Those accessing the Site from such locations act on their own initiative and we are not responsible for their compliance with applicable laws.
13.1 Permission to Use.
Permission to use of the Site does not constitute a License. Subject to your complete and ongoing compliance with these Terms, IQsonics grants you limited, non-transferable, non-sublicensable, revocable permission to access and use the SS4Kids Program for your personal, internal use for the duration of your Membership for which you have paid and provided your account is in good standing.
13.2 Restrictions.
Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, sublicense, distribute, market, transfer, reverse engineer, reverse compile, or otherwise attempt to gain access to elements of the SS4Kids Program, publicly display, or publicly perform the SS4Kids Program; (b) copy or make modifications to the SS4Kids Program; or (c) interfere with or circumvent any feature of the SS4Kids Program, including any security or access control mechanism. If you are prohibited under applicable law from using the SS4Kids Program, you may not use it. You may not use the SS4Kids Program on behalf of any third party, or in a service bureau of similar capacity.
You will not remove or conceal from view any copyright, trademark, or confidentiality notices appearing on or in the SS4Kids Program and the Service and/or documentation or on any output generated by the SS4Kids Program and the Service. You acknowledge that, as between you and IQsonics, IQsonics retains exclusive right, title, and interest in and to the SS4Kids Program and the Service, data files, code and technical documentation, and this Agreement shall not be construed in any manner as transferring any rights of ownership or license to the SS4Kids Program or Service or any samples or features or information therein, except as specifically stated herein. All rights not expressly granted are reserved to IQsonics.
This Agreement shall be interpreted, construed and governed by the laws of the State of California, USA, without reference to its laws relating to conflicts of law and not including the provisions. Venue for all disputes arising under this Agreement shall lie exclusively in the Superior Court of California County of Los Angeles or the Federal District Courts of the Central District of California (as permitted by law).
15.1 The Term of this Agreement shall commence upon the date that you register for the SS4Kids Program (the “Effective Date”) and shall continue in unless terminated as set forth herein.
15.2 The Term of this Agreement shall terminate automatically without notice to you upon your breach of any term in this Agreement or any other iQsonics policy related to use of the SS4Kids Program or the Service.
You agree to indemnify, hold harmless, and defend IQsonics and its officers, directors, employees, and agents (the “IQsonics Indemnified Parties”) from any and all claims, losses, liabilities, damages, expenses and costs (including without limitation reasonable attorney’s fees and court costs) arising out of or as a result of any breach by you of this Terms of Service, arising out of or in any way related to the use or disclosure by the IQsonics Indemnified Parties of any Protected Health Information (PHI) provided that such use of disclosure is made in accordance with the Terms of Service, or otherwise related to your use of the Software or the Service.
The Software and the Service, including the user interface, features, components, documentation and any feedback provided by you or others, is confidential and proprietary to IQsonics and its suppliers (“Confidential Information”). You may not disclose IQsonics Confidential Information to third parties without IQsonics’ prior written consent. You may disclose IQsonics Confidential Information in response to a judicial or governmental order provided that you must first give written notice to IQsonics to allow it to seek a protective order or otherwise protect the information. IQsonics Confidential information does not include information that: (i) becomes publicly known through no wrongful act; (ii) you received from a third party who did not breach confidentiality obligations to IQsonics or its suppliers; or (iii) you developed independently. You agree to maintain the confidentiality of all data and information provided to you via the Service with respect to a child’s speech-lanaguage development, and not disclose such information unless permitted to do so by the child’s legal guardian.
18.1 Right to Share Data.
You warrant to IQsonics that you have the right and authority to use, to provide to IQsonics, and to grant IQsonics the right to maintain and incorporate into summary reports, all data and information that you provide to IQsonics during your use of the SS4Kids Program, including but not limited to information related to any child whose use of the SS4Kids Program you oversee. You agree further that, except as prohibited by applicable law, IQsonics shall own all such data and information.
You represent that you are of sufficient legal age to use this SS4Kids Program and to create binding legal obligations for any liability you may incur as a result of the use of this Service. You understand that you are financially responsible for all uses of this Service by you and those using your login information. You must complete the registration process by providing us with current, complete and accurate information as prompted by the registration form. You then will choose a login and password. You are entirely responsible for maintaining the confidentiality of your password and account data.
19.1 Username.
The username is your email address and must be a valid email address. Your email address is your login to the SS4Kids Program. Your email is the means by which IQsonics communicates to you about the SS4Kids Program, Membership and any other pertinent information regarding this Service. If your email changes at anytime, you must contact IQsonics Customer Support immediately at SS4KidsSupport@iqsonics.com so the system can reflect this change and you can continue to access this Service.
19.2 Password.
The password you use in connection with the SS4Kids Program is personal to and may only be used by you. No other user has the right to use that password. You agree to keep that password secret, and not disclose it to any other person.
19.3 Child Information.
Any child information entered during the registration process or thereafter under the account management page is treated as confidential information and only use and disclose it in accordance with these Terms (including the IQsonics privacy policies).
The Service hosted at game.singandspeak4kids.com (the “SS4Kids Program”) requires a Membership to access. The membership (“Membership”) is an agreement between IQsonics and you. Memberships enable end users to utilize the Sing and Speak 4 Kids software (the “Software”) through an online offering (the “Service”) provided their Membership is in good standing, which includes but not limited to no outstanding balance, expired payment method, nor breach of these Terms of Service.
Membership details are managed through the secure Membership Portal located under the account management page.
20.1 Offerings.
Memberships may be offered in increments of one or more months. You may have only one (1) Membership active at a time. When registering and more than one (1) child is added to the account, the Membership will include an Add-On for each additional child beyond the first child. For example, if two (2) children are added during registration, the first child is included in the base Membership and one (1) Add-On of an additional child is added to the Membership during checkout. The Add-On price is the same price as the base Membership and is also on a recurring billing.
An Institution, such as a school or clinic may contact IQsonics to order Memberships in advance and subsequently pass out Coupon Codes to individuals to enter during the registration process to cover some or part of the cost of the Membership. An institution must contact IQsonics to arrange this purchase and it may have another terms agreement.
20.2 Billing/Billing Cycle.
All Memberships must be paid in advance for the entire duration selected, unless otherwise stipulated within an agreement with and Insitution for Coupon Codes. The first payment is due at the end of the trial period or if no trial period, immediately upon the activation of the Membership. The day of the first payment is the start date of your billing cycle and will be the day used for each billing cycle. Billing cycles are the length appropriate to the duration of the Membership selected. For example, if a three (3) Month Membership is selected, then the billing cycle is every three (3) Months. Your Membership will automatically renew at the end of each billing cycle. This is known as recurring billing. If your Membership balance has a payment due your SS4Kids Program account will be suspended until amount due is paid. You will not be able to log into the SS4Kids Program.
20.3 Auto Renew and Renewals
All Memberships are defined to automatically renew (Auto Renew) at the end of the billing cycle unless you update your preference through the secure Membership Portal found under your account management page located in the SS4Kids Program or by contacting Customer Support and request that Auto Renew be turned off. You may turn off Auto Renew at any time.
You may choose another Membership of a different duration at any time by canceling the existing Membership and selecting another. At the end of the existing Membership, the new Membership will become the active Membership and payment will be charged at this time to the payment method defined in the Management Portal.
Upon logging into the SS4Kids Program, we may notify you of an upcoming renewal but you must not rely on this notification as the means to keep your account in good status. It is solely your responsibility to make the payments on time in order to keep your account active and in good standing.
IQsonics will attempt to notify you through the email on your account of any upcoming renewal but iQsonics is not obligated to send such notices.
20.3.1 Renewals through an Individual
At time of renewal, your payment method defined during the registration process or later through the secure Membership Portal will automatically be charged unless Auto Renew is turned off. If no valid payment method is found at this time or Auto Renew is turned off, then your account will marked as Payment Due and your SS4Kids Program account will be restricted. IQsonics will attempt 3 times to collect payment after which 20.8 applies.
20.3.2 Renewals through an Institution
For Memberships ordered by an Institution and are due for renewal, the Institution is responsible for contacting IQsonics prior to their end date to either renew the Membership and provide payment to IQSonics or cancel the Membership. These are Memberships where the end user received a Coupon Code from the Institution and entered it during registration. For these end users, it is also your responsibility to contact the Institution prior to renewal to arrange the renewal payment if one is required. If a payment is not made at renewal time, the Membership will be canceled, your account will be restricted and 20.8 applies. If the Institution does not wish to continue paying for the membership however you wish to continue to use the SS4Kids Program, then a payment method must be entered through the secure Membership Portal and optionally you may choose a different Membership duration at that time. In addition, contact Customer Support prior to renewal indicating you will no longer be part of the Institutional Membership arrangement.
20.4 Trial Period.
Some Memberships come with a limited time use of the SS4Kids Program before paying the recurring price of the Membership. A user may only use a Trial Period once. After a Membership has been purchased that includes a (“Trial Period”) you may not purchase another Membership with a Trial Period again regardless of the number of days used during the Trial Period. If a Membership is purchased that includes a Trial Period, your payment method will not be charged until the day after the Trial Period ends. This date becomes the start of your billing cycle. You may cancel your Membership at any time during the Trial Period and no charge will be made to your payment method.
For all Memberships with a Trial Period, we require you to provide your payment method details to start the Membership and trial. By providing such details you agree that we may automatically begin charging you for the Membership on the first day following the end of the Trial Period on a recurring basis based on the interval of the Membership. IF YOU DO NOT WANT THIS CHARGE, YOU MUST CANCEL THE MEMBERSHIP BEFORE THE END OF THE TRIAL PERIOD BY USING THE SECURE MEMBERSHIP PORTAL LOCATED ON THE ACCOUNT MANAGEMENT PAGE.
20.5 Taxes. Our prices listed do not include any taxes, levies, duties or similar governmental assessments of any nature such as value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”) unless otherwise indicated. You are responsible for paying Taxes associated with your purchase and keeping your billing information up to date.
20.6 Price Changes.
IQsonics may change the pricing for the Services and Memberships at any time, provided that, for Memberships billed on a recurring basis, the change will become effective only at the end of the then-current billing cycle of your Membership. IQsonics will provide you with advance notice of any change in pricing. This advance notice will be sent to the email address on your account.
20.7 Refunds.
No refunds are given unless one of the following applies:
(a) A refund is required by law; or
(b) IQsonics, in our sole discretion, determines a refund will be made, if appropriate. We consider any technical issue that prevents the Member from using the Service, that is caused by iQsonics and cannot be corrected after investigation by our technical staff, may be an appropriate reason for partial or full refund, depending on how much the Membership was utilized successfully by the Member.
No refunds or proration are due upon canceling a Membership prior to its end date.
20.8 Cancellation.
IQsonics will attempt to notify you through the email on your account of any pending cancelation but iQsonics is not obligated to send such notices.
You may cancel your membership at any time by using the secure Membership Portal under the account management page. The Membership will cancel at the end of the billing cycle.
No refunds or proration will be given regardless of when Membership is canceled. See refund policies (20.7).
a) By You
You may cancel your Membership at any time through the secure Membership Portal found on the account management page in the SS4Kids Program. If you are still in the trial period, your membership ends at the end of the trial. If you are beyond the trial period nor have a trial period, the Membership ends at the end of your Membership duration or billing cycle. At the cancelation of your Membership, you will not be charged again for that Membership unless you purchase a new one. If you cancel a Membership in the middle of a billing cycle, you will not receive a refund unless for any reason listed in section 20.7.
After cancelation, depending on the option selected by you
i. Your account is permanently disabled, the Service is no longer accessible and all PII (Personal Identifiable Information) is scrubbed; however the data collected is still available for IQsonics data analysis. All access previously permitted to professionals (teachers/clinicians) to the your child(ren)’s data will be permanently disconnected.
OR
ii. Your account is accessible for six (6) months for you to review any collected data and reports but will not be able to use the Program. All professionals (teachers/clinicians) will also be able to review the data during this time. After which, your account is defaulted to option 20.8.a.i.
b) By IQsonics
IQsonics reserves the right to cancel your Account or Membership for breach of these Terms of Service. In those circumstances, your account will be deactivated and option 20.8.a.ii will be implemented.
21.1 Coupon Codes from Individual Payer
IQsonics may offer a Coupon Code to Individuals to redeem during the registration process or at renewal time of an existing Membership. Coupon Codes may have an expiration date. A Coupon Code can only be redeemed once and is not transferable.
21.2 Coupon Codes from Institutional Payer
Coupon Codes may also be provided from an Institutional Payer. An Institutional Payer is the institute responsible for payment of the Membership either in whole or in part on half of the registrant (you). The Institutional Payer provides you the Coupon Code. This Coupon Code will represent a dollar amount to be applied towards the Membership you select at registration. The Coupon Code must be entered during the registration process. If there is a remaining balance after applying the Coupon Code, you are responsible for payment of the remaining balance and you will be required to enter your payment method at time of checkout. If there is a zero (0) balance after applying the Coupon Code, no payment method is required at time of checkout.
22.1 Keep Your Password and Account Secure.
You are responsible for safeguarding your password and any other credentials to your account in connection with your use of the SS4Kids Program. Furthermore, you are entirely responsible for any and all activities that occur under your account, whether or not you authorized that activity. If you become aware of any unauthorized access or any other breach of security to your account, you agree to notify IQsonics immediately by contacting Customer Support. Accounts may not be shared and may only be used by one individual per account. IQsonics will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by IQsonics or another party due to someone else using your account or password. You may not use anyone else’s account at any time, without the permission of the account holder.
22.2 Keep Your Details Accurate.
IQsonics occasionally sends notices to the email address registered with your account. You must keep your email address and, where applicable, your contact details and payment details associated with your account current and accurate. If you need to change your email, you must notify IQsonics Customer Support.
23.1 Program.
All components of the Sing and Speak 4 Kids program offered by iQsonics, including registration process, training materials, gameplay, and data collection/reporting.
23.2 Data Collection/Reporting.
Data entered and/or automatically registered in the Program, including the registration process, account information, Pre-Post Assessment, Song Plays, Yes-No responses, timestamps, and graphic displays.
23.3 Child.
Child, student or client affiliated with a Member who utilizes the Program.
23.4 Membership.
A duration of time to use SS4Kids Program that the end user pays in advance.
23.5 Member.
The individual person that holds a Membership, e.g. parent, guardian, teacher or clinician.
23.6 Membership Portal.
Access to the interface to manage renewal payments, Auto Renew setting, payment methods and other membership related information.
23.7 Membership Order.
One or more Memberships ordered and paid for by an Institution (e.g. school, clinic).
23.8 Payer.
Individual or Institute responsible for payment of Membership(s).
23.9 Recurring Billing.
Payments made on a regular basis.
23.10 Coupon Code.
Generated by iQsonics internally or through agreement with an Institution Payer for their clients; substitutes for credit card payment and entered during registration process or at time of renewal of a Membership; may have a time limit. May provide a discount either in whole or in part of the cost of a Membership.
